Terms of Service

1. Acceptance of Terms

By accessing and using Schutes ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. These Terms constitute a legally binding agreement between you and Schutes.

2. Service Description

Schutes provides a school bus management platform including fleet tracking, route planning, trip scheduling, attendance tracking, and communication tools for schools, drivers, parents, and students. The Service is provided "as is" and may be updated or modified at any time.

3. User Accounts and Responsibilities

Schools must register and be approved by a site administrator. School administrators are responsible for managing user accounts within their school. All users must:

  • Maintain the confidentiality of their login credentials.
  • Provide accurate and up-to-date information.
  • Use the Service only for its intended purpose of school bus management.
  • Comply with all applicable laws and regulations, including data protection laws.
  • Not attempt to access data belonging to other schools or unauthorised users.
  • Report any security vulnerabilities or suspected breaches immediately to [email protected].

4. Data Processing Agreement

By using the Service, schools (as data controllers) appoint Schutes as a data processor for the personal data processed through the platform. Schutes agrees to:

  • Process personal data only on documented instructions from the school, unless required by law.
  • Ensure that persons authorised to process data have committed to confidentiality.
  • Implement appropriate technical and organisational security measures, including encryption, access controls, and school-level data isolation.
  • Assist schools in responding to data subject requests (access, rectification, erasure, portability).
  • Notify the school without undue delay (and within 72 hours where feasible) upon becoming aware of a personal data breach.
  • Delete or return all personal data at the end of the service agreement, unless retention is required by law.
  • Make available all information necessary to demonstrate compliance with data processing obligations.

5. Subscriptions and Payment

Access to Schutes requires an active subscription. Subscriptions may be time-based or resource-limited. Details are available on our pricing page. Subscription fees are non-refundable except where required by applicable consumer protection laws. We reserve the right to change pricing with 30 days' written notice.

6. Intellectual Property

The Service, including its software, design, logos, and documentation, is the intellectual property of Schutes. Users retain ownership of their data. By using the Service, you grant Schutes a limited licence to process your data solely for the purpose of providing the Service.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Attempt to gain unauthorised access to the Service, other accounts, or other schools' data.
  • Introduce malware, viruses, or other harmful code to the platform.
  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use automated tools to scrape, mine, or extract data from the Service.
  • Share your account credentials with unauthorised persons.

8. Limitation of Liability

Schutes is a management tool and does not replace proper safety protocols. To the maximum extent permitted by law:

  • Schools remain solely responsible for transportation safety and compliance with local regulations.
  • Schutes shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of the Service.
  • Our total liability for any claim arising from the Service shall not exceed the fees paid by the school in the twelve (12) months preceding the claim.
  • GPS tracking data is provided for informational purposes and should not be the sole basis for safety-critical decisions.
  • We do not guarantee uninterrupted or error-free operation of the Service.

9. Indemnification

You agree to indemnify and hold harmless Schutes, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Service Availability and Termination

We aim to maintain high availability but do not guarantee uninterrupted service. We may suspend or terminate access to the Service:

  • For scheduled maintenance with reasonable advance notice.
  • Immediately if you breach these Terms.
  • If your subscription expires or payment is not received.
  • If required by law or regulation.

Upon termination, your data will be available for export for 30 days, after which it will be deleted in accordance with our Privacy Policy.

11. Dispute Resolution

Any disputes arising from these Terms shall be governed by the laws of New South Wales, Australia. The parties agree to attempt to resolve disputes through good-faith negotiation before pursuing formal legal proceedings. Any legal action shall be brought in the courts of New South Wales, Australia.

12. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes at least 30 days in advance via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
